1) Acceptance of Terms

- By accessing or using the Website, purchasing a program or product, booking a session, or joining any group, you agree to be bound by these Terms and Conditions and our Privacy Policy.

- If you do not agree, do not use our services.

2) Services Overview

- We provide coaching, mentoring, and small-group support focused on [motivation, transformation, mindset].

- Coaching and mentoring are not therapy, medical care, legal, tax, or financial advisory services. We do not diagnose, treat, or prevent medical or mental health conditions, nor provide legal or investment advice. For those matters, consult a licensed professional.

3) Eligibility

- Services are intended for individuals 18 years or older. If under 18, participation requires verifiable parental or legal guardian consent and may be restricted from group settings at our discretion.

- You represent that the information you provide is accurate and that you have the authority to enter into these Terms.

4) Client Responsibilities

- You are responsible for your own decisions, results, and outcomes. You agree to participate actively, complete any agreed tasks, and communicate promptly.

- You agree not to rely on our services as a substitute for therapy, legal, tax, accounting, or investment advice.

5) Group Conduct and Community Standards

- Our groups are designed to be respectful, inclusive, and professional. Prohibited conduct includes harassment, hate speech, discrimination, spamming, solicitation of members without consent, and sharing others’ content without permission.

- Confidentiality in group settings cannot be guaranteed, as we cannot control what other participants do outside the group. Share only what you are comfortable disclosing.

- We may remove any participant from a group or program at our discretion for violations of these standards, without a refund except as required by law or expressly stated in our refund policy.

6) Confidentiality and Privacy

- We will treat your personal information in accordance with our Privacy Policy.

- One-to-one sessions: We keep your information confidential unless disclosure is required by law, you are at risk of harm, or you provide written consent.

- Group sessions: We request all participants honor confidentiality; however, you acknowledge that confidentiality cannot be guaranteed.

- You consent to our collection and processing of personal data necessary to deliver services. If you are located in the EEA/UK or other regions with data rights, please review our Privacy Policy for details on your rights and how to exercise them.

7) Session Scheduling, Cancellations, and Attendance

- Scheduling: Sessions are scheduled via [tool/platform] in EST time zone. You are responsible for converting time zones correctly.

- Cancellation/Reschedule: Please provide at least [24/48] hours’ notice to reschedule. Sessions canceled with less notice or missed sessions may be forfeited.

- Group calls and events may be recorded for training or replay access; see Section 8.

8) Recordings, Replays, and Media Release

- Group calls, workshops, and webinars may be recorded. By participating, you grant us a non-exclusive, worldwide, royalty-free license to use recordings that include your image/voice for delivering program content (e.g., replays) and internal training.

- You will always be made aware if a group call is going to be recorded.

- We will not publicly market your identifiable contributions without your express permission. If you do not wish to be recorded, you’ll be given the option to keep your camera off, use a pseudonym, and refrain from sharing identifiable information, or notify us in advance so we can accommodate where feasible.

9) Payments, Subscriptions, and Refunds

- Fees are listed at checkout. You agree to pay all fees when due and authorize us to charge your payment method for any selected plan, including recurring subscriptions.

- Payment plans: You are responsible for completing all installments. Failure to complete payments may result in suspension of access.

- Chargebacks: Initiating a chargeback without first contacting us may be treated as a breach. We reserve the right to recover fees and costs associated with chargebacks.

- Refunds: Unless otherwise stated on the specific sales page or required by law, all sales are [final/non-refundable]. If a satisfaction guarantee is offered, its conditions will be clearly stated on the sales page and govern.

- Taxes: Prices may exclude applicable taxes, which you are responsible for paying.

10) No Guarantees; Results Disclaimer

- We do not guarantee specific results, income, client acquisition, health outcomes, or other metrics. Your results depend on many factors beyond our control, including your background, effort, market conditions, and implementation.

11) Intellectual Property

- All content we provide—including videos, worksheets, templates, methods, frameworks, and course materials—is owned by us or our licensors and is protected by copyright and other IP laws.

- We grant you a limited, non-transferable, revocable license for personal or internal business use only. You may not share, reproduce, distribute, sell, or create derivative works from our content without written permission.

12) Acceptable Use of Platforms

- You agree not to misuse our Website, communities, or platforms (e.g., Substack) including uploading malicious code, infringing third-party rights, scraping, or attempting unauthorized access.

13) Third-Party Tools and Links

- We may receive affiliate commissions for recommendations; this does not increase your cost and we only recommend resources we believe are valuable.

14) Health, Crisis, and Emergency Disclaimer

- Coaching is not a substitute for medical or mental health care. If you are in crisis or considering self-harm, call your local emergency number or contact your nearest emergency service immediately.

15) Indemnification

- You agree to indemnify and hold harmless Prospect & Refuge Life, LLC, its owners, employees, contractors, and affiliates from any claims, damages, liabilities, costs, or expenses arising from your use of the services, violation of these Terms, or infringement of any third-party rights.

16) Disclaimers of Warranties

- Services are provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the services will be uninterrupted or error-free.

17) Limitation of Liability

- To the maximum extent permitted by law, in no event will we be liable for any indirect, incidental, special, consequential, or punitive damages, lost profits, or data loss arising out of or related to your use of the services.

- Our total liability for any claim shall not exceed the amount you paid to us for the service giving rise to the claim in the twelve (12) months preceding the event.

18) Suspension and Termination

- We may suspend or terminate your access at any time for violations of these Terms or legal/regulatory reasons. You may terminate your participation by providing written notice; any refunds will follow the applicable refund policy.

19) Governing Law; Dispute Resolution

- These Terms are governed by the laws of New Jersey, without regard to conflict-of-law principles.

- Good-faith negotiation: The parties will first attempt to resolve disputes informally within 30 days.

- Notwithstanding the foregoing, either party may seek injunctive or equitable relief for IP infringement or nonpayment in any court of competent jurisdiction.

20) Changes to Terms

- We may update these Terms from time to time. Changes are effective upon posting with an updated “Effective Date.” Continued use of the services constitutes acceptance of the revised Terms.

21) Severability; Entire Agreement; Assignment

- If any provision is held invalid, the remaining provisions remain in effect. These Terms, together with the Privacy Policy and any program-specific terms, form the entire agreement between us. You may not assign your rights without our written consent; we may assign to a successor in connection with a merger, acquisition, or sale of assets.
